Terms and Conditions

Introduction These terms and conditions (the "Agreement") govern the engagement of Uplifted Advisory Services Limited, trading as Uplifted (the "Consultant") by the client named in the Statement of Work (the "Client"). By signing the Statement of Work, the Client agrees to be bound by the terms and conditions set forth in this Agreement.

  1. Services The Consultant agrees to provide the services described in the Statement of Work (the "Services") in a professional and timely manner. The Services will be performed in accordance with the highest professional standards and in compliance with all applicable laws and regulations.

  2. Fees and Payment The Client agrees to pay the Consultant the fees set forth in the Statement of Work for the Services provided. The fees are payable in accordance with the payment terms set forth in the Statement of Work. The Consultant reserves the right to suspend or terminate the Services if the Client fails to pay the fees in a timely manner.

  3. Confidentiality The Consultant agrees to maintain the confidentiality of all information provided by the Client in connection with the Services. The Consultant will not disclose any confidential information to any third party without the prior written consent of the Client.

  4. Intellectual Property All intellectual property created by the Consultant in connection with the Services, including but not limited to reports, analyses, and recommendations, shall be the property of the Client. The Consultant agrees to assign all rights, title, and interest in and to such intellectual property to the Client.

  5. Termination Either party may terminate this Agreement at any time upon written notice to the other party. Upon termination, the Consultant shall immediately cease providing the Services and shall return to the Client all confidential information and intellectual property created in connection with the Services.

  6. Limitation of Liability The Consultant's liability to the Client under this Agreement shall be limited to the fees paid by the Client for the Services provided. The Consultant shall not be liable for any consequential, incidental, or indirect damages arising out of or in connection with the Services.

  7. Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Services are provided. Any dispute arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

  8. Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the Services and supersedes all prior or contemporaneous agreements and understandings, whether written or oral. This Agreement may not be amended or modified except in writing signed by both parties.

By signing below, the Client acknowledges that it has read and understood the terms and conditions of this Agreement and agrees to be bound by them.
